1. Parties and acceptance
This agreement is between the publisher identified on the product and order (the Licensor) and the individual or legal entity obtaining the asset (you or the Licensee). GameGrocer operates the marketplace and facilitates the transaction; it does not acquire the publisher’s intellectual property and is not a party to this license, except that GameGrocer is an express third-party beneficiary entitled to rely on and enforce the platform protections and liability limitations in this agreement. This license applies only when a product explicitly identifies this EULA and its version. Your order records the applicable asset, publisher, version, and license.
The publisher represents and warrants that it owns or is authorized to license the material it submits and that the asset does not contain undisclosed third-party material. Third-party or open-source components identified with separate licenses on the product page remain governed by those licenses; however, unless expressly disclosed prior to purchase, the publisher warrants that the asset does not include "copyleft" or viral open-source components (such as GPL or CC BY-SA) that would require you to disclose source code or license your finished project under restrictive terms.
2. License grant
Subject to lawful acquisition, full payment, and compliance with this agreement, the Licensor grants you a non-exclusive, worldwide, perpetual (subject to Section 5) license, without royalties on your finished projects, to install, use, reproduce, and modify the asset to develop games, applications, media, and other finished projects for personal or commercial use. You may distribute those finished projects in unlimited copies provided the asset is incorporated into them and is not made available as a standalone asset, source file, or substantially equivalent reusable package.
The license covers one individual or one legal entity, with no per-seat charge under this standard license. Your employees and contractors may access source material solely to work on your projects, under confidentiality and usage restrictions at least as protective as this agreement; they acquire no independent license, must remove their copies when their work ends, and you remain responsible for their compliance. Separate companies and affiliates require separate licenses to use the asset independently. However, you may deliver a finished project containing the incorporated asset to a third-party client (work-for-hire) without the client needing a separate license, provided the client only distributes or uses the compiled finished project and does not receive, extract, or reuse the editable source files in other projects.
3. Restrictions and asset protection
You must not sell, sublicense, share, rent, publish, or redistribute the asset, its source files, or modified asset packages as standalone stock content, an asset library, a template or tool that exposes reusable source assets, or a competing product. You must not give unlicensed third parties access to extractable source files. A finished project may contain runtime assets (including for in-game level editors or modding strictly within that single project) as reasonably necessary for normal operation, provided you use reasonable industry-standard measures (such as compiling, packaging, cooking, or obfuscating build files) to prevent end users from easily extracting or ripping the raw asset.
You must not claim ownership of the original asset, remove required copyright or attribution notices, use the asset in unlawful or defamatory activity, or imply that GameGrocer or the publisher endorses your project. This license does not grant rights to trademarks, personality rights, or third-party material beyond the rights expressly provided. You must not use the asset, its source files, derivatives, or outputs to train, fine-tune, distill, validate, or ingest into any machine learning or generative AI model or system (whether general-purpose, specialized, fine-tuned, LoRA, or proprietary), nor include it in any training dataset or scraping archive, without separate written permission from the publisher.
4. Ownership, versions and support
The publisher retains all right, title, and interest in the original asset. You retain ownership of your original contributions and finished projects, subject to the publisher’s underlying rights in the incorporated asset. This is a license, not a sale or transfer of intellectual property.
Your purchase covers the specific asset version recorded in your order. Future updates, new versions, technical support, compatibility changes, and continued hosting are not guaranteed unless expressly committed to in the product description. You are responsible for keeping a lawful backup of your purchased files. Store delisting or a publisher’s account suspension alone does not terminate a validly acquired license, except where removal is legally required due to a verified third-party intellectual property infringement claim or court order. Later amendments to this EULA do not retroactively replace the license recorded on an existing order without your agreement, unless you voluntarily download and use a subsequent asset update released under an updated license.
5. Refunds, disputes and termination
Refund requests are governed by the published Refund Policy and applicable mandatory law. A completed refund or an unreversed payment reversal (chargeback) revokes the license for that order from the outset; upon a refund or chargeback, you must immediately cease all use of the asset, remove it from projects in development, and delete all source and backup copies. While a good-faith payment inquiry is under review, access to new downloads may be temporarily suspended without automatically constituting a license breach.
The Licensor may terminate this license for a material breach if you fail to cure the breach within 14 days after receiving written notice, except that termination may be immediate where the breach is by nature incurable (such as unauthorized redistribution of source files) or where law requires immediate action. Upon valid termination, you must cease using the asset in development, stop distributing new copies or updates containing the asset, and delete all source copies, without prejudice to finished project copies already lawfully acquired by your end users prior to termination (unless otherwise required by law). Mere good-faith criticism, a publisher’s financial difficulties, or subjective reputational concerns are not valid grounds for revoking a paid license.
6. Warranties, liability and mandatory rights
Except for express commitments in the product description and statutory rights that cannot lawfully be excluded, the asset and platform services are provided "as is" and "as available," without warranties of uninterrupted operation, non-infringement, or fitness for a particular project. You are solely responsible for your finished projects and any modifications you make to the asset. Nothing in this agreement excludes or limits liability for fraud, willful misconduct, or any liability that applicable law does not permit to be limited.
To the maximum extent permitted by law, neither the publisher nor GameGrocer shall be liable for any indirect, incidental, consequential, special, or lost-profit damages arising out of or related to the asset or this agreement, and the total cumulative liability of the publisher and GameGrocer for any claim is limited to the amount you actually paid for the specific asset giving rise to the claim. Mandatory consumer remedies, statutory warranties, and applicable withdrawal rights remain intact, and no blanket "no refunds" statement overrides those mandatory statutory rights.
7. Contact, severability and applicable law
The order and checkout identify the seller and available contact details. Contact that publisher directly regarding the licensed asset, and use GameGrocer’s published support channels for platform, billing, or order issues.
If any provision of this agreement is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Where mandatory consumer protection laws apply in your place of residence, you retain the benefit of those mandatory provisions and competent local courts. For commercial or business licensees (B2B) and where no separate lawful choice-of-law agreement is specified, disputes relating to platform transactions are governed by the governing law and dispute resolution terms set forth in GameGrocer’s Terms of Service.
